1. Introduction

Welcome to the Decision Matrix (DM) application — a digital decision-support platform designed to help users analyze options, evaluate scenarios, and clarify priorities. The Decision Matrix application and its related services (collectively, the “Service”) are provided by EmTalk.

These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you and EmTalk and govern your access to and use of the Service. By accessing, installing, registering for, or using the Decision Matrix application, you agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

Decision Matrix is provided for informational and decision-support purposes only. It does not provide professional, legal, financial, medical, or other regulated advice and should not be relied upon as such. Any decisions you make based on information or outputs provided by the Service are made at your own discretion and risk.

User Responsibility and Assumption of Risk

You are solely responsible for the decisions you make and the actions you take based on your use of the Service.

You assume all risks associated with the use of Decision Matrix, including any outcomes, losses, or consequences resulting from decisions informed by the Service. EmTalk is not responsible for how you interpret, apply, or rely on any outputs provided by the application.

No Guarantees or Outcomes

We do not guarantee the accuracy, completeness, reliability, or usefulness of any content, outputs, or results generated by the Service.

We make no representations or warranties that the use of Decision Matrix will lead to specific outcomes, improved decision-making, financial results, personal success, or other benefits. Results may vary depending on individual circumstances and external factors.

No Emergency or Critical Use

Decision Matrix is not designed for emergency, safety-critical, or time-sensitive situations.

4. Account Registration and Access

Eligibility: You must be at least 18 years old to use the Service. By creating an account, you confirm that you meet this requirement and have the legal capacity to enter into a binding agreement.

  • Unauthorized Use: You must notify us immediately at info@emtalk.org if you become aware of any unauthorized use of your account or any security breach. EmTalk is not responsible for any loss or damage resulting from your failure to safeguard your account credentials.
  • Account Suspension or Termination: We reserve the right, at our sole discretion, to suspend, restrict, or terminate your account, with or without notice, if you:
  1. Violate these Terms
  2. Misuse the Service
  3. Engage in harmful, unlawful, or fraudulent activities
  4. We are not obligated to provide a reason for such actions.
  • Access Limitations: You acknowledge that access to certain features or portions of the Service may be modified, restricted, or discontinued at any time without liability to you.

5. Use of the Service

DM version - Permitted Use and Restrictions

By using Decision Matrix (DM), you agree to use the Service only for its intended personal, non-commercial decision-support purposes, in compliance with these Terms and all applicable laws.

5.1 Permitted Use

Subject to your compliance with these Terms, EmTalk grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to:

  • Access and use the Service for personal, non-commercial decision analysis and informational purposes only
  • View, download, or interact with content made available through the Service for individual use
  • Use in-app features in a lawful, respectful, and appropriate manner

5.2 Restrictions on Use

You agree not to:

  • Use the Service or its content for any commercial, resale, or revenue-generating purposes
  • Access or interact with the Service through automated, scripted, or non-human means (including bots, crawlers, scrapers, or similar technologies)
  • Copy, modify, reverse-engineer, decompile, or attempt to derive the source code, algorithms, or underlying structure of the Service
  • Circumvent, disable, interfere with, or attempt to bypass security, authentication, or access-control mechanisms
  • Impersonate any person or entity, misrepresent your identity, or falsely claim affiliation with any organization
  • Interfere with or disrupt the operation of the Service, its infrastructure, or servers
  • Upload, transmit, or distribute malware, spyware, viruses, or other harmful code
  • Use the Service to harass, abuse, threaten, or harm others
  • Engage in conduct that restricts, disrupts, or inhibits other users from using the Service
  • Use the Service for unlawful, harmful, deceptive, or unauthorized purposes
  • Reproduce, distribute, publicly display, or otherwise exploit any part of the Service or its content without prior written consent from EmTalk

5.3 Modifications and Availability

EmTalk reserves the right, at any time and without prior notice, to:

  • Modify, update, or discontinue any aspect of the Service
  • Add, remove, or change features or functionality
  • Temporarily or permanently suspend access to the Service or parts thereof
  • Limit availability based on factors such as location, age, device compatibility, usage behavior, or subscription status

You acknowledge and agree that:

  • Certain features may be available only to paid or subscribed users
  • Updates, patches, or changes may be applied automatically without prior notice
  • Downtime, maintenance periods, or service interruptions may occur and do not entitle you to compensation

6. Intellectual Property and Ownership

All intellectual property rights related to Decision Matrix (DM), including its content, design, software, algorithms, interfaces, and functionality, are the exclusive property of EmTalk or its licensors and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

6.1 License Grant

Subject to your compliance with these Terms, EmTalk grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

  • Download, install, and access the Decision Matrix application on a personal device
  • Use the Service for individual, non-commercial purposes only
  • Access content and features solely as expressly authorized by EmTalk

This license does not grant you the right to:

  • Reproduce, modify, distribute, publicly display, or create derivative works from any part of the Service or its content
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, models, or underlying structure of the Service
  • Use EmTalk’s trademarks, logos, or trade names without prior written permission
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices

6.2 Copyright

All materials available through the Service, including text, graphics, images, interfaces, software code, visual elements, and other content, are owned by or licensed to EmTalk and are protected by intellectual property laws.

Any unauthorized use, copying, or distribution of such materials is strictly prohibited and may result in civil and/or criminal liability.

You may not use any content from Decision Matrix for promotional, educational, commercial, or public purposes without prior written consent from EmTalk.

6.3 TrademarksDecision Matrix,” “DM,” the Decision Matrix logo, and all related names, product and service names, designs, and slogans are trademarks of EmTalk or its affiliates.

You may not use these marks, in whole or in part, without prior written authorization.

6.4 Violations

Any violation of this section will result in immediate termination of your license to use the Service and may subject you to legal action.

EmTalk reserves the right to pursue all remedies available under applicable law to protect its intellectual property rights.

7. Termination and Cancellation

Your right to access and use Decision Matrix (DM) is conditioned on your compliance with these Terms. Either you or EmTalk may terminate this agreement as described below.

7.1 Termination by EmTalk

EmTalk reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the Service, with or without prior notice, if:

  • You violate these Terms or any applicable laws or regulations
  • You engage in fraudulent, abusive, harmful, or inappropriate conduct
  • Your use of the Service poses a security risk, infringes intellectual property rights, or disrupts system performance
  • Termination is required by legal or regulatory authorities
  • We discontinue, modify, or materially change the Service or any part thereof

Termination may result in:

  • Immediate revocation of access to your account and associated content
  • Deletion of your personal data, except where retention is required by law
  • No entitlement to refunds for any prepaid subscriptions or purchases, unless otherwise required by applicable law

7.2 Termination by You

You may stop using the Service or cancel your subscription at any time by:

  • Using the subscription management tools provided by your device or app store account
  • Following any cancellation instructions made available within the Service or on our website

Please note:

  • Deleting the application does not automatically cancel your subscription
  • Subscriptions must be cancelled through the same platform used to make the purchase (for example, Google Play or the App Store)
  • Access to paid features will remain available until the end of the current billing period

7.3 Survival of Terms

Upon termination of your account or access to the Service:

  • All licenses and rights granted to you under these Terms will immediately cease
  • Provisions relating to intellectual property, disclaimers, limitation of liability, dispute resolution, governing law, and any other sections intended to survive termination will remain in effect

8. Prohibited Use of the Service

By using Decision Matrix (DM), you agree to interact with the Service in a respectful, lawful, and good-faith manner. You must not misuse, abuse, or interfere with the Service, its content, or its functionality. Any violation of these rules may result in immediate suspension or termination of your account, legal action, or both.

You agree not to:

  • Copy, reproduce, modify, reverse-engineer, decompile, or otherwise attempt to extract the source code, algorithms, models, or underlying structure of the Service
  • Create derivative works, competing products, or services based on the Service, its methodologies, outputs, or user interface
  • Record, reproduce, distribute, or share any content, outputs, or sessions generated by the Service without prior written permission
  • Use automated tools or systems (including bots, scrapers, crawlers, or scripts) to access, interact with, or extract data from the Service
  • Upload, transmit, or distribute malware, spyware, viruses, or other harmful code intended to disrupt, damage, or compromise the Service, its infrastructure, or users
  • Bypass, disable, or attempt to circumvent security features, authentication mechanisms, or access controls
  • Access or attempt to access accounts, data, or systems without authorization
  • Violate any applicable laws or regulations, including those relating to data protection, intellectual property, export controls, or computer misuse
  • Harass, impersonate, threaten, defame, or otherwise harm other users, EmTalk personnel, or any associated parties
  • Use the Service for commercial purposes without prior written consent, including resale, sublicensing, advertising, or monetization
  • Upload or distribute unlawful, harmful, abusive, discriminatory, obscene, or hateful content
  • Collect, harvest, or attempt to obtain personal data of other users without authorization
  • Promote illegal activities or encourage harm to yourself or others
  • Use the Service in any jurisdiction where such use is prohibited by applicable law

EmTalk reserves the right to take immediate action, including suspension or termination of access and notification of relevant authorities, if we determine that your conduct violates these Terms, poses a risk to others, or is otherwise unlawful.

9. Payments, Subscriptions, and Refunds

Certain features of Decision Matrix (DM) may require payment. By purchasing, subscribing to, or using any paid features of the Service, you agree to the following terms.

9.1 Paid Features and Purchases

Some features of Decision Matrix (such as advanced analysis tools, extended scenarios, premium templates, or additional functionality) may require a one-time purchase or an active subscription.

Purchases may be made:

  • Through our website
  • Through third-party platforms or app stores (such as Google Play or other authorized payment providers)

All applicable fees, billing terms, and pricing details are clearly disclosed prior to purchase and are charged in your local currency unless otherwise stated.

9.2 Subscription Terms

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date.

By subscribing, you authorize EmTalk or the applicable third-party platform to:

  • Charge your selected payment method on a recurring basis
  • Retry failed payments in accordance with the platform’s billing policies

You are solely responsible for managing and cancelling any subscriptions associated with your account.

9.3 Free Trials and Promotional Offers

From time to time, we may offer free or discounted trial periods for certain paid features.

Unless cancelled before the end of the trial period, a trial subscription will automatically convert into a paid subscription. EmTalk reserves the right to limit, modify, or discontinue trial offers at any time, including restricting multiple trial redemptions.

9.4 Payment Failures

If a subscription renewal or payment attempt fails, we may:

  • Retry the charge in accordance with applicable platform policies
  • Notify you of the failed payment
  • Suspend or cancel access to paid features if payment remains unsuccessful

9.5 Refund Policy

Purchases made through third-party platforms (such as app stores or payment processors) are subject to the refund policies of those platforms. EmTalk does not control and cannot issue refunds for such purchases directly.

Purchases made directly through our website are generally non-refundable, except where refunds are required by applicable law.

Deleting the application or your account does not automatically cancel your subscription. Subscriptions must be cancelled through the same platform used to make the purchase.

9.6 EU / EEA / UK / Switzerland Residents

If you are a consumer located in the European Union, EEA, United Kingdom, or Switzerland, you may have a statutory right to withdraw from a purchase within 14 days without providing a reason.

To exercise this right, you must notify us by email before the withdrawal period expires.

If you expressly requested immediate access to digital content and acknowledged the loss of your withdrawal right, you may not be entitled to a refund, or may be entitled only to a partial refund, as permitted by applicable law. Any eligible refunds will be issued within 14 days using the original payment method.

10. User Eligibility, Representations, and Restrictions

Decision Matrix is intended for users aged 18 and over only.

By using the Service, you represent and warrant that:

  • You are at least 18 years old
  • You have the legal capacity to enter into a binding agreement
  • You are not prohibited by applicable laws or regulations from accessing or using the Service

10.2 User Representations

You represent and agree that:

  • All registration, account, and profile information you provide is accurate, current, and complete
  • You will keep such information up to date as necessary
  • You will use the Service only for lawful and authorized purposes
  • You will not attempt to gain unauthorized access to any part of the Service, including systems, servers, or user accounts

10.3 Prohibited Use

You agree that you will not:

  • Access or use the Service through automated means, including bots, scrapers, crawlers, or similar tools
  • Circumvent, disable, or interfere with security, authentication, or access-control mechanisms
  • Copy, modify, translate, reverse-engineer, decompile, or create derivative works based on the Service
  • Resell, sublicense, or otherwise commercially exploit the Service or its content without authorization
  • Collect, harvest, or extract data from the Service without prior permission
  • Upload, transmit, or distribute malware, spam, or malicious code
  • Access or use the Service if you are:
  • Located in a jurisdiction subject to export controls or sanctions
  • Listed on applicable government restricted or sanctions lists (including OFAC or equivalent authorities)

10.4 Standards of Conduct

When using Decision Matrix, you must not:

  • Impersonate any person or entity or misrepresent your affiliation
  • Harass, abuse, threaten, stalk, or defame other users or EmTalk personnel
  • Post or transmit unlawful, harmful, discriminatory, or offensive content
  • Use the Service in a manner that disrupts other users, degrades performance, or interferes with system integrity

11. Limitation of Liability and Indemnity

By using Decision Matrix (DM), you acknowledge and agree to the following limitations of liability and responsibilities.

11.1 Limitation of Liability for Indirect Damages

To the fullest extent permitted by applicable law, EmTalk and its affiliates, partners, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of data
  • Loss of goodwill or reputation
  • Business interruption or operational downtime

This limitation applies to any damages arising out of or related to:

  • Your access to or use of, or inability to access or use, the Service
  • Any content, data, analyses, or outputs generated, transmitted, or made available through the Service
  • Unauthorized access to, use of, or alteration of your data or transmissions
  • Bugs, errors, viruses, malware, or other harmful components

11.2 Limitation of Total Liability

To the maximum extent permitted by law, EmTalk’s total cumulative liability for any claim, action, or dispute arising out of or relating to the Service shall not exceed the total amount paid by you, if any, for use of the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

If you have not paid any fees, EmTalk’s total liability shall be limited to the minimum amount permitted by applicable law.

11.3 Indemnification

You agree to defend, indemnify, and hold harmless EmTalk and its affiliates, directors, officers, employees, agents, contractors, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your access to or use, or misuse, of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights, including intellectual property, privacy, or data protection rights
  • Any dispute or interaction between you and any third party arising from your use of the Service
  • Any content, inputs, or submissions you provide through the Service

11.4 Assumption of Risk

You acknowledge and agree that your use of Decision Matrix is at your sole discretion and risk.

You assume full responsibility for all decisions made and actions taken based on information, analyses, or outputs provided by the Service, including any consequences resulting from reliance on such outputs.

Decision Matrix is a decision-support tool only and should not be relied upon as professional, legal, financial, medical, or other regulated advice.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws set out below, and any disputes or legal matters arising from your use of Decision Matrix (DM) must be resolved in accordance with this section.

12.1 Governing Law

These Terms, and any disputes arising out of or relating to the Service, shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan, without regard to conflict-of-law principles.

If the laws of your country or region of residence require the application of mandatory consumer protections or different governing law provisions, such requirements shall apply only to the extent required by applicable law.

12.2 Informal Dispute Resolution

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute with EmTalk informally by contacting us at:

12.3 Arbitration and Waiver of Class Actions

To the extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to the Service or these Terms shall be resolved on an individual basis through binding arbitration, rather than in court.

By agreeing to these Terms, you waive your right to:

  • A trial by jury
  • Participate in class actions, collective actions, or representative proceedings

This arbitration provision applies unless prohibited by applicable consumer protection laws.

12.4 Jurisdiction and Venue

If binding arbitration is found to be unenforceable under applicable law, or if you validly opt out of arbitration where permitted, then:

  • Disputes shall be resolved by the courts of the Republic of Kazakhstan, with venue in Almaty,
  • Unless mandatory local law requires disputes to be resolved in another jurisdiction.

You consent to the personal jurisdiction and venue of such courts, subject to applicable consumer protection laws.

12.5 Opt-Out of Arbitration

If you are legally entitled to opt out of binding arbitration, you may do so by notifying us within thirty (30) days of your first use of the Service.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional legal notices, policies, or agreements expressly referenced herein, constitute the entire agreement between you and EmTalk regarding your use of the Service.

They supersede all prior or contemporaneous agreements, understandings, or representations, whether written or oral, relating to the subject matter hereof.

13.2 Modifications and Updates

EmTalk reserves the right to modify or update these Terms at any time.

We may notify users of material changes by:

  • Email (if provided)
  • In-app notifications
  • Updating the “Effective Date” at the top of this document

Your continued use of Decision Matrix after any changes become effective constitutes your acceptance of the revised Terms.

13.3 Waiver

Failure by EmTalk to enforce any provision of these Terms shall not be deemed a waiver of such provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of EmTalk to be effective.

13.4 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

13.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of EmTalk.

EmTalk may freely assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

13.6 Electronic Communications

By using the Service, you consent to receive electronic communications from EmTalk, including legal notices, disclosures, updates, and other information related to your use of Decision Matrix.

You agree that such electronic communications satisfy any legal requirement that communications be in writing.

13.7 Force Majeure

EmTalk shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to:

  • Acts of God
  • Natural disasters
  • Governmental actions
  • Internet or infrastructure failures
  • Cyberattacks or security incidents
  • Wars, pandemics, labor disputes, or similar events
